How to Add Exhibits
Select your project from the Dashboard to see the EDGAR/HTML page. This is where you can add, remove, and reorder documents, or open documents in the Editor.
Press “Add Exhibit.” Select the exhibit number from the dropdown list, and add the exhibit extension if needed. You may leave the description as the exhibit number or type in a new description.
Press “Add” to save the exhibit in the list of documents. Repeat the steps to add another exhibit or press “Done.”
Change the Document List Order
Exhibits are listed in the order they were added. You may need to use “Change Order” to meet the SEC requirement of listing them in ascending numerical order.
Upload Source File
To upload a Word file as the base of the exhibit, click once on the form row and select “Upload Source File.” Drag & Drop the file, or browse to select and find the file.
PDFs and images cannot be used for the base document. The uploaded source file must be a Word document.
Please remember that uploading a source file replaces the entire document. Open the document in the Editor and use the editing tools to add or replace portions of text if needed.
Finalizing the Exhibit
Once the exhibit has been uploaded, some additional steps are required to make sure the exhibit is in compliance with the filing.
Step 1: Open the document in the Editor. The exhibit number header should appear in the top right corner of the first page. If it still needs to be added, press the “Insert Exhibit Number” button located on the toolbar.
Use the editing tools to apply formatting throughout the document if needed.
Step 2: Save and close the exhibit, then open the main document. Make sure the exhibit index is current, and add a hyperlink to the newly added exhibit.
