Frequently asked questions about filing EDGAR documents.
What are the SEC‘s filing hours?
Monday – Friday, 6:00 am to 10:00 pm ET (excluding federal holidays). The deadline to receive the same-day filing date is 5:30 pm ET.
What happens if a filing is submitted after 5:30 pm ET?
Most filings received after 5:30 pm ET will receive the next business day’s filing date, and will not be posted to the SEC‘s website until the next business day at 6:00 am ET.
Form types that can be submitted from 5:30 pm to 10:00 pm ET and still receive a same-day filing date are: 3, 3/A, 4, 4/A, 5, 5/A, 144, 144/A, F-1MEF, F-3MEF, F-4MEF, N-14MEF, N-2MEF, POS 462B, S-11MEF, S-1MEF, S-3MEF, S-4MEF, S-BMEF, SC 13D, SC 13D/A, SC 13G, and SC 13G/A.
What happens if we start the filing transmission before 5:30 pm ET and it doesn’t finish until after 5:30 pm ET?
The SEC‘s official filing time is the time that the transmission completes, not when it was started. If a filing transmission ends after the deadline cutoff, the filing will be recognized as being filed the next business day.
What time does market close?
Stock market hours are Monday – Friday, excluding major holidays, from 9:30 am to 4:00 pm ET.
How can I obtain new filing codes?
If you are registered with the SEC as an EDGAR filer you have filing codes; they were forwarded to you at the time of registration. If you cannot locate your filing codes, use the Filer Management web site in conjunction with your passphrase to generate new ones. Note that the CIK will not change.
Who receives the notification of my filing acceptance or suspension?
A notification email will be sent by the SEC automatically to the following:
• The Registrant‘s EDGAR Contact in the SEC database
• Those listed in the project’s EDGAR Submission page in the portal, under Notification Email Addresses
• The email address of the ThunderDome user who is submitting the project to the SEC
• RDG Filings
The SEC sends notification emails almost immediately after processing the submission. If you do not receive an email from the SEC (edgar-postmaster@sec.gov) within a few minutes, check your Spam or Junk email folders. If you still can‘t locate the email, you may contact RDG Filings and ask that the notification email be forwarded to you, or call EDGAR Filer Support at 202-551-8900, option 3, weekdays except Federal Holidays, between the hours of 9:00 am – 5:30 pm ET. You will need the Accession Number, which you can find on the “Submission History” tab of the “Transmit to SEC” page.
Why was my filing submission returned as SUSPENDED and how can I correct it?
Any one of numerous errors can lead to a suspension; warnings [WRN] will not cause a suspension. The SEC‘s filer support website provides a comprehensive list of errors and warnings along with recommended solutions. See below for guidance on common errors.
Missing or invalid Filing Values
• Project-specific fields such as Reporting Period can be updated on the project‘s EDGAR Submission page.
• Company-specific fields such as CIK and CCC must be updated in the company profile within the portal. Contact the Company Administrator or RDG Filings for assistance.
Missing or invalid tags (8-K with iXBRL Cover Tags)
Open the document in ThunderDome. Does the specified value show an orange line above and below the text?
Yes = the value already has an iXBRL tag. Right-click on the item and select “Edit iXBRL Cover Tag” to ensure it has been assigned the correct tag. For tagged data that is also submitted as a filing value, make sure the item matches in both places.
